'Lied' can mean a lot of things here and only really egregious lies would help Musk. Twitter did not lie in the sense that they fudged the numbers to make the sale. They may have been always fudging the numbers by using poor metrics of bot activity, but that is not the lie that matters.

Considering that the value of twitter has depreciated 14.6 billion dollars since he pledged to acquire, a $1 Billion termination fee is a steal. And if Twitter gave incorrect figures it's not a leap that the acquisition could be voided, and he wouldn't even be on the hook for $1 Billion (which is what he agreed to pay only if he failed to acquire financing, which he did, so it's irrelevant).

I don't think "fudging" statistics necessarily equates to misrepresentation in a matter where I suspect every methodology and result is ultimately debatable. That's assuming they did fudge anything, which Elon Musk has alleged but illustrated flimsily at points.

Did Twitter cock up ? It's always possible but they weren't the ones playing fast, loose and desperate to close the deal.

Twitter is trying to force the billionaire to make good on his April promise to buy the company for $44bn (£37bn) and wanted the billionaire to be tried in court at the earliest possible date.
